Our Real Estate Practice Group represents private and institutional developers, landlords, asset managers, investors and end-users in connection with their leasing of major commercial real estate properties throughout the New York metropolitan area, including office buildings, shopping centers, mixed use buildings, retail stores and industrial properties.
A significant focus of our real estate practice is the representation of real estate developers in numerous development projects in the New York metropolitan area and throughout other areas in the New York region, with an emphasis on shopping centers. Our experience includes site acquisition and control through options, ground leases and title transfers, preparation of reciprocal easement agreements and restrictive covenants, leasing of space to national and regional retailers and negotiating construction and permanent loan documentation.
The Firm represents lenders and borrowers in all types of commercial lending and financing transactions, including construction loans, fee or leasehold mortgage loans, interim, bridge or mezzanine-type financing, and subordinated financing and intercreditor transactions.
Our Real Estate Practice Group has experience that dates back to the late 1980’s and early 1990’s in advising a wide variety of clients in connection with loan defaults, workouts and foreclosures; loan acquisitions and sales; real estate joint venture disputes and leasing disputes and enforcement. We are experienced in virtually every type of commercial real estate financing transaction, involving the full range of intercreditor and co-lending arrangements. The experience and skills of our attorneys in our real estate practice group, working together with our corporate, litigation and tax practice groups enable us to provide our clients with the background and experience best suited for their particular situation.
An important aspect of our real estate practice is our experience in the formation and structuring of partnerships and joint ventures for the acquisition and development of, and investment in, commercial, multi-family, mixed use and hotel properties. Our attorneys are skilled in representing both the economic and operating partners of these joint ventures as well as handling the disputes that can sometimes arise out of these complex relationships. Our attorneys are also active in advising real estate private equity funds in connection with their formation and operation, including preparing private placement memoranda, equity operating agreements, subscription agreements and investor questionnaires, and also in representing investors in such real estate investment funds.
Our Real Estate Practice Group is involved in the acquisition and sale of office buildings, shopping centers, residential and mixed use buildings, hotels and undeveloped land. Many of these transactions have been accomplished by means of a like-kind (1031) exchange of real property.
