    Client Alert: Ready, Set, Next: SEC Filers Need To Prepare For New Edgar Next Filing System In 2025

    In September 2024, the U.S. Securities and Exchange Commission (SEC) adopted changes to its Electronic Data Gathering and Retrieval (EDGAR) system. Rolling out during 2025, the new system is known as “EDGAR Next”. EDGAR Next will replace the current EDGAR system and aims to improve security (including via two-factor authentication of authorized users), modernize connections to EDGAR, and enhance filers’ ability to manage their accounts.

    In 2021, Congress enacted the Corporate Transparency Act (“CTA”), which creates a requirement to report beneficial ownership information (“BOI”) to the U.S. Financial Crimes Enforcement Network (“FinCEN”) as part of the U.S. government’s efforts to make it harder for bad actors to operate through shell companies or other opaque ownership structures.
