CLIENT ALERT: Reporting of Control Parties and Beneficial Ownership Information to FinCen (The U.S. Department of the Treasury) of Certain Non-Exempt Private U.S. Entities
Beginning on January 1, 2024, many entities (including, but not limited to, C corporations, LLCs, LLP, LPs, etc.) formed in the United States will have to report information about their controlling parties and beneficial owners to FinCen, a unit of the U.S. Treasury Department, unless they are the subject of an express exemption. This new law, as written, requires the submission of a range of Personally Identifying Information (i.e. passport information) and Beneficial Ownership Information.
